End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and The Useful Apps Pty Ltd, ABN 48 684 083 498 ("RouteMate", "we", "us", or "our"), for the use of the RouteMate mobile applications, website (routemate.app), and related services (collectively, the "Application").

By downloading, installing, or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the Application.

1. Relationship to App Store Terms

If you downloaded the Application from the Apple App Store, this Agreement supplements Apple's Standard Licensed Application End User License Agreement ("Apple Standard EULA"), which is incorporated by reference. In the event of a conflict, Apple's Standard EULA shall control for App Store purchases. If you downloaded the Application from Google Play, Google Play's terms of service apply in addition to this Agreement.

2. Scope of License

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the Application on devices that you own or control, solely for your personal or internal business use, in accordance with this Agreement.

You may not:

• Copy, modify, or distribute the Application or any part of it
• Reverse engineer, decompile, or disassemble the Application
• Rent, lease, lend, sell, or sublicense the Application
• Use the Application to develop a competing product or service
• Remove or alter any proprietary notices, labels, or marks

3. Subscription and Billing

RouteMate offers free and paid subscription plans ("Solo AI" and "Pro Driver"). Paid subscriptions are billed on a recurring basis (monthly or annually) and auto-renew unless cancelled before the end of the current billing period.

Apple App Store Subscriptions:

• Payment is charged to your Apple ID account at confirmation of purchase.
• Subscriptions automatically renew unless turned off at least 24 hours before the end of the current period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan.
• You can manage and cancel subscriptions by going to your Account Settings on the App Store after purchase.
• Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.
• Refunds for App Store purchases are handled exclusively by Apple in accordance with their refund policies.

Google Play Subscriptions:

• Payment is charged to your Google Play account at confirmation of purchase.
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period.
• You can manage and cancel subscriptions in your Google Play Store account settings.
• Refunds for Google Play purchases are handled in accordance with Google's refund policies.

Price Changes: We may change subscription pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following notice of the change. Your continued use of the Application after the price change constitutes your agreement to the new price.

Taxes: All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for any such taxes that apply to your subscription, except for taxes based on our income.

4. Free Trial

We may offer free trial periods for certain subscription plans. At the end of the trial period, your subscription will automatically convert to a paid subscription at the applicable rate unless cancelled before the trial ends. Trial eligibility is determined by Apple, Google, or RouteMate at our sole discretion, and may be limited to one trial per user or device.

5. Account, Access, and Eligibility

To use certain features, you must create an account. You must be of legal age in your jurisdiction (at least 13 years old) to use the Application. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must provide accurate and complete information and keep it up to date.

We reserve the right to suspend or terminate your account if we reasonably suspect fraudulent, abusive, or otherwise inappropriate activity.

6. Acceptable Use

You agree not to:

• Use the Application for any unlawful purpose
• Attempt to gain unauthorised access to any part of the Application or its systems
• Interfere with or disrupt the Application or its infrastructure
• Use automated tools, bots, or scripts to access or scrape the Application
• Transmit any malicious code, viruses, or harmful data
• Impersonate any person or entity, or falsely represent your affiliation
• Use the Application in a manner that could damage, disable, or impair the service

7. Third-Party Services

The Application integrates with third-party services including Google Maps, Google Routes API, Google Gemini AI, and Mapbox for mapping, route optimisation, address scanning, and geocoding functionality. Your use of these features is subject to the respective third-party terms of service and privacy policies.

We do not control, endorse, or assume responsibility for the content, accuracy, or availability of any third-party services. Third-party services are provided "as is" and their availability may change without notice.

8. Data and Privacy

Your use of the Application is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. We may collect technical and usage data to improve the Application and develop new features. You retain ownership of any data you submit to the Application. We do not sell your personal data to third parties.

9. Intellectual Property

The Application, including all content, features, functionality, source code, designs, and trademarks, is and remains the exclusive property of The Useful Apps Pty Ltd and is protected by copyright, trademark, and other intellectual property laws. This Agreement does not grant you any ownership rights in the Application. All rights not expressly granted herein are reserved.

10. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Application will be uninterrupted, error-free, secure, or that route optimisations, distance calculations, or AI-extracted addresses will always be accurate. You acknowledge that route suggestions are for informational purposes and you should always use your own judgment when navigating.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROUTEMATE, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APPLICATION.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) AUD $50 OR (B) THE TOTAL AMOUNT PAID BY YOU TO ROUTEMATE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless RouteMate and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Application, violation of this Agreement, or infringement of any third-party rights.

13. Export Compliance

You agree to comply with all applicable export control laws and regulations. You may not export or re-export the Application except in compliance with Australian law and applicable international regulations.

14. Termination

This Agreement is effective until terminated. We may suspend or terminate your access to the Application at any time, with or without cause, if we reasonably believe you have violated this Agreement. You may terminate this Agreement by deleting the Application from all your devices and discontinuing use. Upon termination, all licences granted to you under this Agreement will immediately cease.

To delete your account and associated data, contact us at hello@routemate.app. Termination does not entitle you to a refund of any subscription fees already paid.

15. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on the Application or our website. Your continued use of the Application after any changes constitutes your acceptance of the updated Agreement.

16. Governing Law

This Agreement is governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law principles. Any disputes arising from or relating to this Agreement shall be resolved exclusively in the courts of Queensland, Australia. You irrevocably consent to the jurisdiction of such courts.
